When can you voluntarily deregister a company ?

When a company is no longer required, you can decide if you want to voluntarily deregister it. Deregistering a company may mean your obligations as an officeholder ceases (which includes changing company details, paying annual review fees and lodgement fees) and your company will no longer be a legal entity. There are several requirements before ASIC will deregister your company, they include:

All members (shareholders) of the company have to agree to de-register
The company is not conducting business
The company’s assets are worth less than $1,000
The company has no outstanding liabilities/debts
The company is not involved in any legal proceedings
The company has paid all fees and penalties payable to ASIC

How much does it cost to deregister a company?

The company registration package starts costs $150. This fee includes a $42 ASIC fee and all documents required to voluntarily deregister your company.

How long does it take to close a company?

The company deregistration form generally takes 10 minutes to complete. Once submitted, we will send you your company deregistration documents and declarations. Once executed, you must send them back to us for processing. Your company deregistration will then be processed with ASIC. Once approved by ASIC, they will notify us by way of post that your application has been sucessful. The application to deregister will then be published in the ASIC Gazette.

Will I be charged my annual ASIC company fees?

It is recommended that any deregistration should take place at least 2 weeks before the company’s anniversary and issue of the Annual Statement and Invoice by ASIC. If you want further information about if annual fees are payable please contact ASIC.
